Welcome to Ocean Computer Tech (“we,” “our,” “us”). By accessing, purchasing, or using any services or products offered by Ocean Computer Tech, you (“Client,” “Customer,” “User,” or “End User”) agree to the following Terms & Conditions. Please read this agreement carefully, as it outlines the responsibilities and liabilities of all parties involved.
1. Overview of Services
Ocean Computer Tech is a digital agency offering services including, but not limited to:
Website development (E-Commerce, Trades, Services, Corporate, Professional, Directories, Marketplaces, etc.)
Website hosting, domain management & technical maintenance
Annual maintenance services (security, updates, monitoring, etc.)
Digital marketing & advertising services (Google Ads, Bing Ads, Social Media Ads, Merchant Center, Email Marketing, Retargeting, etc.)
Search Engine Optimization (SEO)
Business listings management (Google Maps, Apple Maps, Business Profiles, etc.)
Consulting & digital strategy
Ocean Computer Tech provides digital services only. We do not act as legal advisors, compliance officers, or business risk managers for our clients.
2. No Legal, Financial, or Compliance Responsibility
2.1 Client Responsibility for Legal Compliance
Clients are solely responsible for ensuring their business operations, website content, marketing campaigns, and digital activities comply with all applicable local, state, national, and international laws, including (but not limited to):
THC, CBD, hemp, cannabis, vape, dispensary, tobacco, and nicotine-related compliance
Alcohol, pharmaceuticals, medical claims, supplements, adult content, weapons, or other regulated industries
Data privacy laws, including GDPR, CCPA, HIPAA, ADA, and others
Advertising policies for Google, Facebook, Instagram, Merchant Center, and other platforms
Ocean Computer Tech does not monitor or enforce compliance with changing laws or regulations for any industry.
2.2 No Responsibility for Client Misrepresentation
Ocean Computer Tech is not responsible for:
Claims, promises, guarantees, or statements made by client businesses
Legality of any products or services sold by the client
Any fines, penalties, account suspensions, or legal consequences resulting from client activities
We act only as a digital service provider at the direction of the client.
3. Relationship Between Ocean Computer Tech & Client
3.1 Independent Contractor
Ocean Computer Tech operates strictly as an independent contractor. No partnership, joint venture, employment, or agency relationship is created by using our services.
3.2 Client Provides All Content
Clients are responsible for providing:
Website copy and product descriptions
Images, graphics, media, and branding
Business policies (privacy policy, refund policy, disclaimers, etc.)
Legal notices required for their industry
Ocean Computer Tech may assist with formatting or placement but does not verify accuracy or legality.
3.3 End User Relationship
Ocean Computer Tech has no relationship or liability toward the client’s customers, website users, or any third party interacting with the client’s business.
The Client assumes all responsibility for:
Consumer interactions
Transactions
Product compliance and safety
Customer support
Business operations
4. Website Development & Deliverables
4.1 Ownership
Once payment is completed, the Client owns:
Website files
Databases
Designs
Content provided by the client
Third-party themes, plugins, extensions, or licenses remain subject to their respective license agreements.
4.2 Backups
Clients receive a full backup of their website upon completion.
Daily backups may be included with hosting plans, but long-term storage is the Client’s responsibility.
4.3 Revisions & Additional Work
Work outside the agreed project scope may incur additional charges.
4.4 No Guarantee of Results
Ocean Computer Tech does not guarantee:
Specific traffic numbers
Search rankings
Sales or revenue
Account approvals (Google Ads, Merchant Center, social platforms)
Third-party platform performance or uptime
These elements depend on factors outside Ocean Computer Tech’s control.
5. Hosting & Maintenance Services
5.1 Hosting Services
If the Client uses Ocean Computer Tech’s hosting:
Ocean Computer Tech will provide server resources and technical support as outlined in the hosting plan.
Clients are responsible for reviewing and understanding hosting limitations.
5.2 Maintenance Plans
Maintenance services may include:
WAF monitoring
CMS updates
Plugin updates
Theme updates
Security patches
Performance optimization
Maintenance does not include full redesigns, new features, or unrelated development.
5.3 No Liability for Third-Party Outages
Ocean Computer Tech is not responsible for outages or failures caused by:
Third-party hosting companies
DNS providers
Email providers
Plugin/theme conflicts
Third-party service interruptions
6. Marketing, Advertising & SEO Services
6.1 Client Accounts
Clients must provide access to:
Google Ads, Analytics, Tag Manager
Merchant Center
Social media ad accounts
Email marketing platforms
Ocean Computer Tech does not create personal or business accounts on behalf of clients unless specifically requested.
6.2 No Guarantee of Advertising Performance
Due to the nature of advertising and algorithm-based systems, Ocean Computer Tech does not guarantee:
Sales
Leads
Conversions
Ad approvals
Merchant Center approvals
Cost-per-click performance
6.3 SEO Disclaimer
Ocean Computer Tech does not guarantee:
#1 Google rankings
Indexing by specific dates
Organic traffic increases
Placement in featured snippets
SEO depends on market conditions, competition, algorithms, and client participation.
7. Payments & Billing
7.1 Subscriptions
Hosting, maintenance, and certain marketing services renew automatically unless canceled.
7.2 Refunds
Due to the nature of digital services, all sales are final. No refunds will be issued after work has begun.
7.3 Late Payments
Ocean Computer Tech reserves the right to pause or terminate services for overdue invoices.
8. Liability Limitations
In no event shall Ocean Computer Tech be liable for:
Loss of revenue or profits
Data loss
Legal issues arising from client industry or compliance failures
Account bans or suspensions
Damages caused by third-party software, plugins, or hosting providers
Actions taken by Google, Facebook, Instagram, or other advertising platforms
Maximum liability is limited to the total amount paid by the Client for the specific service in question.
9. Indemnification
Client agrees to indemnify, defend, and hold harmless Ocean Computer Tech from any claims, damages, liabilities, or legal costs arising from:
Client business operations
Website content
Advertising claims
Product sales or services
Regulatory non-compliance
End user disputes
Industry-specific legal requirements (CBD, THC, alcohol, weapons, medical, etc.)
10. Termination
Ocean Computer Tech may terminate services for:
Non-payment
Abusive behavior or harassment
Illegal activity
Violation of platform policies
Risk to server or network security
Upon termination, no refunds are issued.
11. Changes to Terms
Ocean Computer Tech may update these Terms at any time. Continued use of services constitutes acceptance of updated terms.
